# OctetKeep Software License Agreement (EULA)

**Effective date:** 2026-08-16
**Licensor:** Elementary Inc.

This Software License Agreement governs paid local editions of OctetKeep supplied by Elementary Inc.

## 1. License grant

Subject to payment of the applicable license fee and compliance with this EULA, Elementary Inc. grants the customer a non-exclusive, non-transferable license to install and use the licensed OctetKeep edition for the purchased scope. Unless an Order Form states otherwise, the license is perpetual for the licensed major edition, subject to termination for material breach where permitted by law.

## 2. Permitted use

The customer may use the software for its internal business or personal purposes, including local analysis, development, CI and reporting within the purchased edition and seat/site limits. Backup copies may be made as reasonably necessary for lawful use.

## 3. Restrictions

Except to the extent mandatory law permits otherwise, the customer must not sell, sublicense, rent, lease, distribute, publish, provide hosted access to third parties, or remove proprietary notices. Nothing in this EULA prevents acts that cannot lawfully be restricted, including applicable interoperability rights.

## 4. Customer data and outputs

The customer retains ownership of its input data and outputs. Elementary Inc. does not acquire ownership of customer forensic artifacts merely because they are processed by the software. The local runtime is designed so that analyzed inputs are not transmitted to Elementary Inc. by default.

## 5. Updates and support

A perpetual license and update/support entitlement are separate. The applicable edition, update period and support scope are stated in the purchase or support documents. Ending an update entitlement does not by itself revoke a properly granted perpetual license.

## 6. Security and no-egress design

The product is designed as a local-first, zero-telemetry environment with network egress denied by default. No payment enforcement mechanism depends on telemetry, device fingerprinting or a remote kill switch.

## 7. Intellectual property

The software, documentation, trademarks, designs and related intellectual property remain owned by or licensed to Elementary Inc. This EULA grants a license only; it does not transfer intellectual-property ownership.

## 8. Open-source components

Third-party components remain subject to their applicable open-source licenses. Those licenses prevail to the extent required by their terms.

## 9. Warranty and remedies

The software is supplied with the warranties and statutory conformity rights required by applicable law. No voluntary satisfaction guarantee or automatic 30-day money-back program is granted by this EULA. Mandatory consumer rights and other non-waivable remedies remain preserved.

## 10. Limitation of liability

To the maximum extent permitted by applicable law, neither party is liable for indirect or consequential losses arising from the agreement. Nothing in this EULA excludes liability that cannot lawfully be excluded or limits mandatory consumer remedies.

## 11. Termination

Either party may terminate for a material breach that remains uncured after reasonable notice where such termination is permitted by law. Upon termination, the customer must stop using the software and delete copies, except where retention is legally required. Accrued rights and mandatory statutory rights survive.

## 12. Export and sanctions

The customer must comply with applicable export-control and sanctions rules. The Export Control Notice forms part of the product legal information.

## 13. Governing law

For customers for whom mandatory consumer law does not prescribe otherwise, this EULA is governed by Bulgarian law and disputes are subject to the competent Bulgarian courts. Mandatory consumer protections remain unaffected.

## 14. Entire agreement

The applicable order, this EULA, and incorporated policies form the agreement for the licensed software. In case of conflict, mandatory law prevails; otherwise the executed order controls commercial scope and this EULA controls software use.
